LLC Incorporation Checklist

Standard Form

• The Entity Name does not:
  • Cause confusion with an existing legal entity
  • Falsely imply governmental status
  • Falsely imply a licensed activity (when unlicensed)
  • Cause confusion with an IRL entity
  • Misrepresent the entity's form (i.e. a corporation with LLC in its name)
• In-game Firm name:
  • Must be substantially similar to the Entity Name
  • Must be registered in-game (check via the Economy Explorer Link)
  • Must not cause confusion with another entity
• A legal purpose is provided.
• A membership register is displayed in the prescribed format (table)
  • At minimum, the in-game name for each natural person (player) must be filled in.
  • If a member is another corporate entity, the entity must be linked.
  • If membership interest is included, interest may be expressed as a fraction or percentage adding up to 1 or 100% respectively.
• Standard Form Elections:
  • If a manager-managed LLC is selected, managers are named in the prescribed table format
  • If distributions in proportion to interests is selected, an interest column must be included in the membership register.
  • If voting in proportion to interests is selected, an interest column must be included in the membership register.
  • If supervisory board is selected, an initial board must be provided in the prescribed table format
  • If a fixed term is selected, an ending date or ending condition must be provided.
  • None must only be selected if none of the previous elections were taken.
• A formation instrument is not attached.
